• I am a Banking and Finance lawyer for both Borrowers and Lenders specialising in non-contentious transactional finance work. I have a particular focus on social, sustainable and green finance in the public sector including registered providers and charitable entities. I have advised clients on the following types of transactions:

    • Acting for multiple lenders in respect of the regulatory consent process required for large scale mergers and restructures including post-merger refinancings;
    • Acting for lenders and borrowers on secured and unsecured debt financings and refinancings for both bilateral and syndicated term and revolving facilities to the social housing, independent health and care and charitable sectors; and
    • Reporting to boards of registered providers and corporates in connection financing and security arrangements.

    My experience of acting on both sides of a variety of funding transactions enables me to provide clients with commercial advice from the initial stages of a funding transaction (including on structuring and term sheets) to negotiating and completing the funding documents and any security arrangements. My clients include registered providers, charitable entities, traditional lenders, institutional investors, alternative funders, corporate borrowers and independent health and care providers.

    I have been recognised as an Associate to Watch by Chambers and Partners for the past six years, with a client commenting:

    Gemini Cecil is good at getting the deal done. She’s very practical and quick to turn documents around.
